Subject to the provisions of these bylaws with respect to the filling of vacancies caused by the removal of directors by the members a vacancy occurs in the Board of Directors shall be filled by the affirmative vote of a majority of the remaining directors for the unexpired portion of the term of the director in respect of whom the vacancy occurs.
Notwithstanding the foregoing, should a vacancy occur in the Board of Directors when the number of directors is more than 7, that board position shall not be filled and the position shall be abolished. In the case of multiple vacancies occurring at the same time, the position assigned to a less senior (in years of service) director shall be deemed to have been vacated prior to the position occupied by the more senior director.
